Terms of Service

1. Agreement to these Terms
These Terms govern your use of Mearri (the “Service”). By signing in to or using the Service, you agree to these Terms and the Privacy Policy. Because the Service uses YouTube API Services, you must also agree to the YouTube Terms of Service.
2. Service Overview
Mearri helps YouTube creators generate multilingual captions for their own videos and upload the resulting captions (SRT), titles, and descriptions to YouTube. The Service uses the following third-party APIs:
- YouTube Data API v3 — channel verification, video uploads, caption insertion, and title/description updates
- Perso.ai API — AI caption generation (speech-to-text)
- Google Cloud Vertex AI (Gemini) — Multilingual translation of captions, titles, and descriptions
3. Accounts and Authentication
- The Service provides sign-in through Google OAuth 2.0.
- You are responsible for providing accurate information and keeping your account secure.
- Account transfer, token sharing, and use of another person’s account are prohibited.
4. User Responsibilities
When using the Service, you must not:
- generate captions for or upload another person’s content without the required rights or permissions;
- create content that violates YouTube policies, copyright rules, or applicable law;
- create content that misuses another person’s likeness, identity, or reputation;
- scrape, attack, overload, or automate abnormal calls against the Service;
- circumvent or abuse credits, payments, upload limits, or other safeguards;
- hide required AI-generated or AI-altered content disclosures, or bypass YouTube policies for made-for-kids content, synthetic media, ads, or sponsorship disclosures.
5. YouTube API Services Consent and Restrictions
By using the Service, you agree to the YouTube Terms of Service. The following restrictions apply to YouTube data and permissions:
- You may revoke Mearri’s access at any time from Google account permissions.
- Mearri does not use or transfer YouTube API Services data for advertising, external marketing, data sale, or AI model training.
- YouTube channel and video data is stored or cached only as needed to provide requested features, maintain upload reliability, and diagnose errors.
6. Credits and Payments
- The Service may use prepaid credits deducted based on processed caption duration (1 credit per minute). Translating only the title and description as a standalone feature deducts 1 credit per 2 target languages (rounded up).
- Paid credits may be used only within the Service and cannot be transferred, exchanged for cash, or resold to third parties.
- If a job fails due to a Service fault, deducted credits may be restored after verification.
- Unused paid credits may be eligible for refund requests within 7 days of payment where withdrawal is not restricted by applicable law.
- Once you expressly request caption generation, translation, or similar digital content processing and processing begins, withdrawal or refund may be restricted for the processed portion.
- Payments made by minors without consent from a legal guardian may be cancelled under applicable law.
- If a refund is approved, the actual refund timing may vary depending on the payment method, payment processor, and financial institution.
- Purchased credits must be used within 1 year of payment; unused credits expire automatically after that period.
- Refunds are processed only as a cancellation to the original payment method (credit card); cash refunds (e.g., bank transfer) of purchased credits are not available.
- Vailen is responsible for all transactions, refunds, and customer complaints for this Service.
7. Intellectual Property
- Rights to source content provided by you and caption outputs generated from it remain with you or the original rights holder.
- Mearri owns the intellectual property in its logo, interface, code, and service structure.
- Any video or audio you provide for caption generation must be your own or content for which you have lawful permission.
8. Disclaimers and Limitation of Liability
The Service is provided with commercially reasonable care, but liability is limited for:
- third-party API outages or policy changes from Google, YouTube, Perso.ai, payment providers, or hosting providers;
- copyright, defamation, likeness, publicity, or other disputes arising from content provided by you;
- accuracy, naturalness, or suitability of AI captions or translation;
- events outside our reasonable control, including outages, disasters, or network failures.
You are responsible for securing all rights (copyright, likeness, publicity, and similar rights) in the content you upload or generate. You are responsible for any third-party claims, disputes, or damages brought against Mearri arising from your content or your breach of these Terms. This does not limit rights guaranteed to consumers under applicable law.
To the maximum extent permitted by law, Mearri’s liability is limited to the amount you paid for the Service during the previous 12 months. This does not limit liability for willful misconduct, gross negligence, personal injury, or rights that cannot be limited under applicable consumer law.
9. Service Changes and Termination
- We may change features, pricing, or policies, or discontinue features, with prior notice for material changes.
- You may stop using the Service at any time by disconnecting YouTube access or requesting data deletion.
- If you materially violate these Terms, your account or access to features may be restricted.
10. Changes to these Terms
When these Terms change, we will post the updated version on this page with the effective date and reason, at least 7 days before it takes effect, and at least 30 days in advance for material changes or changes unfavorable to users. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
11. Governing Law and Disputes
These Terms are governed by the laws of the Republic of Korea. Unless applicable law provides otherwise, disputes related to the Service will be resolved in Korean courts. For consumer harm related to the Service, you may also request remedies or mediation from dispute mediation bodies commissioned by the Korea Fair Trade Commission or local governments, or from the Korea Consumer Agency.
